Forecasts Are Estimates, Not Guarantees

Surge Forecasting and ESP Outputs (and Outputs of any additional forecasting Products G5 Analytics may offer) represent modeled estimates of potential consumer spending activity based on historical patterns, scheduled event data, environmental conditions, and other inputs. Actual outcomes may differ materially from forecasted values. Past signal performance does not guarantee future accuracy or results. No Output should be relied upon as a representation that any specific outcome will occur.

Weather and Environmental Conditions (ESP)

ESP Outputs incorporate third-party meteorological data from the National Oceanic and Atmospheric Administration (NOAA) and other sources. Weather is inherently uncertain, and forecast accuracy diminishes beyond short time horizons. Severe or unusual weather events, unexpected storm tracks, or rapid condition changes may cause actual outcomes to differ significantly from ESP Outputs.

Additional Factors Affecting Forecasts

Outputs may be materially affected by factors outside the scope of the Products’ models, including but not limited to: macroeconomic conditions; geopolitical events; public health disruptions; fuel price volatility; changes in consumer sentiment; acts of God; regulatory, tax, or policy changes; labor disputes; supply-chain disruptions; cyber events; and local market conditions not captured in model inputs.

Third-Party Data

Outputs incorporate data and information from third-party sources, including but not limited to NOAA, event scheduling providers, sports and entertainment governing bodies, and other publicly available or licensed datasets. G5 Analytics does not control, audit, or guarantee the accuracy, completeness, currency, or availability of third-party data and bears no responsibility for errors, omissions, delays, or modifications in such data. Use of third-party data may be subject to additional terms imposed by the data provider.

Proprietary Rights and Use Restrictions

The Products (including Surge Forecasting and ESP), the Platform (GhostCom), all Delivery Channels (to the extent developed and operated by G5 Analytics), all Outputs, and all related methodologies, models, software, designs, trademarks, service marks, trade dress, and documentation are the proprietary property of G5 Analytics and are protected by United States and international copyright, trademark, trade secret, patent, and other intellectual property laws. Except as expressly permitted by a written agreement with G5 Analytics, no person may reproduce, distribute, publish, display, transmit, modify, create derivative works from, sell, license, decompile, disassemble, reverse engineer, scrape, or otherwise exploit the Products, the Platform, any Outputs, or any portion thereof, in any form or by any means. All rights not expressly granted are reserved.

Confidentiality (Pre-Sales and Prospect Materials)

This material is provided on a confidential basis solely for the recipient’s internal evaluation of the Products. Recipient agrees not to disclose, reproduce, or distribute this material, in whole or in part, to any third party without G5 Analytics’ prior written consent, and to return or destroy this material upon request. Nothing in this material constitutes an offer or agreement to provide Products or services; any such relationship will be governed solely by a fully executed written agreement between the parties.
